These Terms of Use govern your access to and use of the agents.diy platform, operated by Cybrient Technologies SA, a company incorporated in Geneva, Switzerland. Please read them carefully before using the service.
Acceptance of Terms
By accessing or using the agents.diy platform (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Use ("Terms"), as well as our Privacy Policy. These Terms constitute a legally binding agreement between you (or the legal entity you represent) and Cybrient Technologies SA.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with any part of these Terms, you must not access or use the Service.
By clicking "Get started," creating an account, or otherwise accessing the Service, you unconditionally accept these Terms.
Description of Service
agents.diy is a Software-as-a-Service (SaaS) platform that enables businesses to deploy, configure, monitor, and manage AI agents. The platform provides infrastructure, tooling, a deployment wizard, agent configuration management, channel integrations, and an audit trail — allowing organisations to build their own AI-powered workflows.
Important: agents.diy is an infrastructure and orchestration layer, not an AI provider. We do not operate AI models ourselves. To use AI-powered features of the Service, you must supply your own valid API credentials from a third-party AI provider (such as OpenAI, Anthropic, or Google). We facilitate the connection between your agent configurations and your AI provider; we are not a party to that relationship.
We reserve the right to modify, update, or discontinue features of the Service at any time, with reasonable notice to users where the change materially affects their use of the platform.
Account Registration
To access the Service, you must register for an account. By registering, you agree to the following:
- Company email required: You must register using a valid business email address. Consumer email domains may be restricted at our discretion.
- Accurate information: You must provide complete and accurate information during registration and keep it up to date. Providing false or misleading information may result in immediate account suspension.
- Account security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised access.
- One account per legal entity: For billing and audit purposes, each legal entity may maintain one primary account. Multiple user seats within an organisation are managed through the platform's user management features.
- Age and capacity: You must be at least 18 years old and have the legal capacity to enter into a binding contract to register for the Service.
We reserve the right to refuse registration or suspend any account at our discretion, particularly where there is evidence of misuse, fraud, or violation of these Terms.
Subscription & Payment
Access to the Service requires a paid subscription on a per-agent basis. Current pricing is as follows:
- Monthly plan: €24.95 per agent per month
- Annual plan: €274.45 per agent per year (equivalent to 11 months — one month free)
All subscriptions are processed via Stripe and are subject to Stripe's terms of service. By providing payment details, you authorise Cybrient Technologies SA to charge the applicable subscription fees to your designated payment method on a recurring basis.
Auto-renewal: Subscriptions renew automatically at the end of each billing period (monthly or annually) unless cancelled before the renewal date. You will receive a reminder email prior to each renewal.
Cancellation: You may cancel your subscription at any time through your account billing settings. Cancellation takes effect at the end of the current billing period; you will retain full access until that date. We do not provide prorated refunds for unused time within a billing period, except where required by applicable Swiss law.
Price changes: We reserve the right to change subscription prices. Any price increase will be communicated by email at least 30 days before it takes effect for existing subscribers. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
Taxes: Prices are exclusive of applicable taxes. Where required by law (including Swiss VAT), taxes will be added to your invoice at the applicable rate.
Your API Keys & AI Usage
The AI functionality of deployed agents depends entirely on your own API credentials from third-party AI providers. By providing API keys through the Service, you acknowledge and agree to the following:
- Your credentials, your responsibility: You are solely responsible for obtaining valid API credentials and for complying with the terms of use and acceptable use policies of your chosen AI provider(s).
- Encrypted storage: We store your API keys in encrypted form using envelope encryption. Your keys are never stored in plaintext and are never accessible to Cybrient Technologies SA employees in unencrypted form during normal operations.
- Sole purpose: We will only use your API keys to forward requests to your AI provider on your behalf, and only when you explicitly trigger agent actions through the platform. We will never use your API keys for any other purpose, including our own benefit.
- No logging of AI content: We do not read, log, store, or analyse the content of requests sent to or responses received from your AI provider through your agent. Operational metadata (such as timestamps and response latencies) may be recorded for monitoring purposes.
- Compliance with provider terms: You are responsible for ensuring that your use of AI capabilities through agents.diy complies with your AI provider's terms of service, including their acceptable use policies. We are not responsible for any suspension or restriction of your AI provider account.
We are not an AI company. We build the scaffolding. The intelligence is yours.
Data & Privacy
The collection, processing, and use of personal data in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
We process personal data in accordance with applicable Swiss data protection law (the Federal Act on Data Protection, "FADP") and, where applicable, the European Union General Data Protection Regulation ("GDPR"). Our servers are operated in Switzerland.
Your agent configurations, uploaded documents, and associated content data remain your property at all times. We act as a data processor with respect to any personal data contained within your agent content, and process such data solely on your instructions.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:
- Using the Service for any illegal activity or in violation of any applicable local, national, or international law or regulation
- Deploying agents that generate, distribute, or facilitate spam, unsolicited communications, or bulk messaging without recipient consent
- Deploying agents designed to harass, intimidate, threaten, or harm any individual or group
- Generating, distributing, or storing content that is defamatory, obscene, hateful, or otherwise objectionable
- Attempting to circumvent, disable, or undermine the safety systems, content filters, or usage policies of any AI provider
- Reselling, sublicensing, or otherwise providing third parties with access to the Service or your account without prior written authorisation from Cybrient Technologies SA
- Interfering with or disrupting the integrity or performance of the Service, its infrastructure, or the data of other users
- Attempting to gain unauthorised access to any portion of the Service, other accounts, or related systems
- Using the Service to develop or deploy a competing product or service without prior written consent
- Uploading or transmitting any viruses, malware, or other malicious code through the Service
We reserve the right to investigate any suspected violations and to take appropriate action, including suspension or termination of the account, without prior notice in cases of serious breach.
Intellectual Property
Our property: The agents.diy platform, including its design, user interface, source code, documentation, branding, trademarks, and all associated intellectual property, is owned exclusively by Cybrient Technologies SA or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership right or licence to our intellectual property beyond the right to use the Service as described herein.
Your property: All data you upload to the Service, including agent configuration files (soul.md, skills.md, context.md), uploaded documents, custom prompts, workflow definitions, and any other content you create or supply ("Your Content"), remains your exclusive property. You grant us a limited, non-exclusive, worldwide licence to host, process, and transmit Your Content solely for the purpose of providing the Service to you.
You represent and warrant that you have all necessary rights to Your Content and that it does not infringe the intellectual property rights of any third party.
Feedback: Any suggestions, feedback, or ideas you provide regarding the Service may be used by us freely and without restriction or compensation to you.
Uptime & Service Level
We strive to maintain a target availability of 99.5% uptime, measured on a monthly basis and excluding scheduled maintenance windows. However, in the current version of the Service (v1), we do not provide any formal Service Level Agreement (SLA) or uptime guarantee.
Planned maintenance: Where possible, we will communicate planned maintenance windows at least 48 hours in advance via in-app notification or email. We will endeavour to schedule maintenance during periods of low activity.
Unplanned outages: We will make commercially reasonable efforts to restore service as quickly as possible in the event of an unplanned outage and will communicate status updates through our status page and, where appropriate, by email.
Service credits: In the event of significant unplanned downtime attributable to our infrastructure, we may, at our sole discretion, provide service credits as a goodwill gesture. Such credits do not constitute a contractual obligation and do not limit our liability provisions below.
We are not liable for unavailability caused by factors outside our reasonable control, including third-party infrastructure failures, your AI provider's outages, internet connectivity issues, or force majeure events.
Limitation of Liability
To the maximum extent permitted by applicable Swiss law, the following limitations apply to all claims arising out of or related to your use of the Service:
- Liability cap: The aggregate liability of Cybrient Technologies SA and its officers, directors, employees, and agents for any claims arising under these Terms shall not exceed the total fees paid by you for the Service during the three (3) months immediately preceding the event giving rise to the claim.
- Exclusion of consequential damages: In no event shall Cybrient Technologies SA be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption, even if we have been advised of the possibility of such damages.
- AI agent actions: We are not liable for any decisions made, actions taken, or content generated by AI agents deployed through the Service. You are solely responsible for the behaviour, outputs, and consequences of agents you configure and deploy on our platform.
- Third-party services: We are not liable for the actions, omissions, or unavailability of third-party AI providers, payment processors, or other third-party services used in connection with the platform.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Swiss law.
Termination
Termination by you: You may terminate your account at any time by cancelling your subscription and requesting account deletion through your account settings or by contacting [email protected]. Following cancellation, your access will continue until the end of the paid billing period.
Termination by us: We reserve the right to suspend or terminate your account, with or without prior notice, in the following circumstances:
- Material breach of these Terms, including prohibited use or non-payment
- Reasonable suspicion of fraudulent, abusive, or illegal activity
- A requirement to do so under applicable law or court order
- Discontinuation of the Service (with at least 30 days' notice where practicable)
Where a breach is capable of remedy, we will endeavour to provide you with notice and a reasonable opportunity to remedy it before taking action.
Effect of termination: Upon termination, your right to access the Service ceases immediately. Your data, including agent configurations, files, and associated content, will be deleted from our systems within 30 days of the termination date. You may request immediate deletion at any time by contacting [email protected]. We recommend exporting any data you wish to retain before termination.
Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall continue in full force and effect.
Governing Law & Disputes
These Terms and any dispute or claim arising out of or in connection with them, or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.
The parties agree to submit to the exclusive jurisdiction of the ordinary courts of the Canton of Geneva, Switzerland for the resolution of any dispute arising from or relating to these Terms or the use of the Service.
Before initiating formal proceedings, both parties agree to attempt good-faith resolution of any dispute by contacting the other party directly. Disputes involving claims below CHF 5,000 may also be submitted to a recognised Swiss mediation body by mutual agreement.
Changes to Terms
We may update these Terms from time to time to reflect changes in the Service, our business practices, or applicable law. We will distinguish between material changes and minor administrative updates:
- Material changes (those that substantively affect your rights or obligations) will be communicated by email to the address associated with your account at least 30 days before they take effect. We will also display a prominent notice within the platform.
- Minor changes (such as corrections, clarifications, or editorial updates) may be made at any time and will be reflected in the "Last updated" date at the top of this page.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease using the Service and cancel your subscription before the effective date of the changes.
We encourage you to review these Terms periodically. The most current version will always be available at agents.diy/legal/terms.
